Soundop End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "your") and Ivosight Software Inc. ("Ivosight," "we," "us," or "our") concerning your installation and use of Soundop software ("Soundop" or the "Software").
By purchasing, installing, activating, accessing, or using Soundop, you agree to be bound by this Agreement. If you do not agree to these terms, do not install, activate, or use Soundop.
1. License Types and Applicable Purchase Terms
Soundop may be offered under different license types, including perpetual licenses, time-limited licenses, and subscription licenses.
The specific license type, license period, activation limitations, update entitlement, renewal terms, and other purchase conditions applicable to your license are determined by the terms presented before or at the time of purchase.
For the purpose of this Agreement, these conditions are referred to as the Applicable Purchase Terms.
The Applicable Purchase Terms may include:
- License type;
- License duration;
- Price and payment terms;
- Computer activation limitations;
- Update and upgrade entitlement;
- Subscription renewal and cancellation terms;
- Other conditions applicable to your purchase.
The Applicable Purchase Terms for your license remain applicable even if Ivosight changes terms for future purchases.
1.1 Perpetual License
A Perpetual License permits you to use the applicable version of Soundop without expiration, subject to this Agreement and the Applicable Purchase Terms.
1.2 One-Year License
A One-Year License permits you to use Soundop for one year beginning on the date of purchase, subject to this Agreement and the Applicable Purchase Terms.
Unless renewed or replaced by another valid license, the license expires at the end of the applicable one-year period.
1.3 Subscription License
A Subscription License permits you to use Soundop during the applicable paid subscription period.
Subscription licenses may be offered on a monthly or annual basis.
2. License Grant
Subject to your compliance with this Agreement and payment of applicable fees, Ivosight grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to install and use Soundop according to your license type.
Soundop is licensed, not sold.
Ivosight and its licensors retain all rights, title, and interest in and to Soundop, including its software, source code, object code, user interface, documentation, graphics, trademarks, and related intellectual property, except for the rights expressly granted to you under this Agreement.
You may use Soundop for personal, educational, professional, or commercial purposes, subject to this Agreement and applicable law.
3. License Code, Password, and Activation
3.1 License Code and Password
Soundop does not require a user account to manage licenses.
When you purchase a license, you receive a license code and a corresponding password. The license code identifies your purchased license and cannot be changed after purchase.
Ivosight associates the license with the applicable purchase record and the email address used for purchase.
License-related requests may require verification through the purchase email address.
3.2 Activation Limitations
Perpetual and One-Year Licenses may be subject to a maximum number of simultaneously activated computers.
The applicable activation limitation is the limitation specified in the Applicable Purchase Terms presented before or at the time of purchase.
Ivosight may change activation limitations for future purchases. Such changes will not retroactively modify the activation limitation applicable to licenses already purchased.
3.3 Subscription Licenses
Subscription Licenses do not have a specified maximum number of activated computers, subject to reasonable technical limitations and measures necessary to prevent unauthorized use or abuse.
The ability to activate Soundop on multiple computers does not grant permission to share the license with unauthorized users.
3.4 Password Reset
You are responsible for protecting your license password from unauthorized use.
The password may be reset at your request.
Ivosight may also reset a password when reasonably necessary to prevent abuse, unauthorized use, fraud, or circumvention of licensing restrictions.
A password reset does not change the license code, license type, purchase date, or other license terms.
4. License Period
A Perpetual License does not expire solely because time has passed, subject to termination under this Agreement.
A One-Year License is valid for one year beginning on the date of purchase.
A Subscription License remains valid during the applicable paid subscription period.
If you cancel a subscription, the license remains valid until the end of the subscription period already paid for, unless otherwise required by applicable terms.
If a purchase is refunded, charged back, reversed, or otherwise invalidated, the associated license may be disabled.
5. Trial and Demo Mode
Soundop may provide a trial period for evaluation purposes.
After the trial period ends, Soundop may continue to operate in Demo Mode.
Demo Mode may continue without a fixed expiration date, subject to the limitations implemented in the applicable version of Soundop.
Demo Mode does not constitute a paid license.
Ivosight may change trial periods or Demo Mode functionality in future versions.
6. Updates and Upgrades
Paid Soundop licenses include free updates and upgrades released during the applicable license validity period according to the Applicable Purchase Terms.
For a Perpetual License, free updates and upgrades are provided during the lifetime of the license.
For a One-Year License, free updates and upgrades are provided during the one-year license period.
For a Subscription License, free updates and upgrades are provided while the subscription remains active and paid.
After a time-limited license expires, continued access to updates and upgrades requires renewal or another valid license.
Ivosight may release updates, upgrades, fixes, improvements, or new features at its discretion.
Ivosight does not guarantee that future versions will remain compatible with all versions of Windows, hardware devices, third-party software, plug-ins, or file formats.
7. License Activation
Each paid version of Soundop requires activation using a valid license code and corresponding password.
You may not circumvent, disable, or interfere with Soundop's activation or licensing mechanisms.
Ivosight may use reasonable technical measures to verify license validity and prevent unauthorized use or abuse.
Where supported, Soundop may provide an offline activation method.
8. License Sharing
A Soundop license is granted to the purchaser or authorized license holder associated with the applicable purchase.
You may not distribute, share, resell, sublicense, rent, lease, or otherwise make your license available to unauthorized users.
You may not provide your license code or password to another person for unauthorized use.
9. User Content
You retain all rights you may have in audio recordings, music, video, projects, metadata, and other content that you create, import, edit, process, or export using Soundop.
Ivosight does not claim ownership of your content solely because you use Soundop.
You are solely responsible for ensuring that you have all necessary rights, permissions, and licenses for your content and its intended use.
10. Third-Party Software and Plug-ins
Soundop may support or interact with third-party software, plug-ins, formats, technologies, or services.
Third-party software and plug-ins may be subject to separate license terms from their respective providers.
Soundop's support for third-party technologies does not grant you any rights to those technologies.
11. Restrictions
You may not:
- Copy, distribute, publish, or make Soundop available to others except as permitted by this Agreement;
- Rent, lease, lend, sublicense, or provide Soundop as a service to others;
- Share license credentials for unauthorized use;
- Reverse engineer, decompile, or disassemble Soundop except where permitted by applicable law;
- Modify Soundop or remove proprietary notices except where permitted by applicable law;
- Circumvent activation, licensing, or technical protection mechanisms;
- Use Soundop for unlawful purposes or in a manner that infringes the rights of others.
12. Support
Ivosight may provide technical support through its website, email, user forum, or other support channels.
Ivosight does not guarantee that support will always be available, uninterrupted, or provided within a specific time period.
13. Privacy
Your use of Soundop is also subject to the Ivosight Privacy Policy:

Ivosight does not claim ownership of your audio, video, music, or other user-created content.
14. Disclaimer of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUNDOP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
IVOSIGHT DOES NOT WARRANT THAT SOUNDOP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ALL COMPUTERS, OPERATING SYSTEMS, HARDWARE DEVICES, THIRD-PARTY SOFTWARE, PLUG-INS, OR FILE FORMATS.
YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF YOUR FILES, RECORDINGS, PROJECTS, AND OTHER DATA.
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IVOSIGHT AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, RECORDINGS, PROJECTS, OR OTHER INFORMATION ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE SOUNDOP.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IVOSIGHT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO SOUNDOP OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE APPLICABLE LICENSE.
Nothing in this Agreement limits liability that cannot legally be limited under applicable law.
16. Termination
This Agreement remains effective until terminated.
Ivosight may terminate your license rights if you materially breach this Agreement.
Upon termination, you must stop using Soundop and, where applicable, uninstall the Software and destroy copies in your possession or control.
Sections concerning intellectual property, user content, disclaimers, limitations of liability, and governing law survive termination.
17. License Transfer
You may not transfer or assign your Soundop license unless Ivosight expressly permits such transfer.
If a transfer is approved, the original license holder must stop using the transferred license.
18. Export and Legal Compliance
You must comply with applicable laws and regulations concerning your use, export, re-export, and transfer of Soundop.
19. Changes to This Agreement
Ivosight may update this Agreement from time to time.
Changes will not retroactively modify the purchase-specific terms applicable to licenses already purchased, except where required by applicable law.
The Applicable Purchase Terms presented at the time of purchase continue to apply to that purchase.
20. Consumer Rights
Nothing in this Agreement excludes or limits mandatory consumer rights or protections that apply under applicable law.
21. Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles, except where mandatory applicable law provides otherwise.
Any dispute arising from this Agreement shall be subject to the jurisdiction of courts having appropriate jurisdiction in the State of Washington, except where mandatory applicable law provides otherwise.
22. Entire Agreement
This Agreement, together with the Applicable Purchase Terms applicable to your license, constitutes the entire agreement between you and Ivosight concerning your use of Soundop.
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain effective.
Failure by Ivosight to enforce any provision does not constitute a waiver of that provision.
